Introduction

Welcome to PodHub, the official platform of Healthy Mind by Avik™, a global mental wellness podcast network featuring 20+ shows, 5,000+ episodes, and a community of 200,000+ listeners worldwide.

These Terms and Conditions ("Terms") govern your access to and use of the PodHub website at www.podhub.club, our podcast content, platform features, paid products and services, guest participation, and any other interaction with our network across any channel or platform.

PodHub is owned and operated by Avik Chakraborty, Founder of Healthy Mind by Avik™, operating through Digitimes Pvt Ltd (hereinafter referred to as "PodHub", "we", "us", or "our").

By accessing or using PodHub in any capacity, including listening to content, submitting a guest application, purchasing a product or service, or browsing the website, you agree to be bound by these Terms. If you do not agree, you must not use the platform.

1. Use of the Platform

PodHub provides access to podcast content, network information, guest applications, newsletter subscriptions, and paid products and services.

You agree to use the platform only in ways that are lawful, respectful, and consistent with these Terms. You may not:

Copy, reproduce, distribute, modify, sell, sublicense, or commercially exploit any content on PodHub without prior written permission from PodHub or the relevant rights holder; disrupt or interfere with the platform, its servers, or its systems; attempt unauthorised access to any account, system, or infrastructure; scrape, crawl, or harvest data from the platform without written permission; upload malware, harmful code, bots, or automated scripts; bypass or circumvent any security measure, access restriction, or usage limit; use PodHub for any unlawful, fraudulent, abusive, or prohibited purpose; or impersonate PodHub, Avik Chakraborty, any host, guest, or other user.

We reserve the right to block, restrict, suspend, or permanently terminate access to any user who violates these Terms or poses a risk to the platform, its community, or its integrity.

2. User Accounts and Responsibilities

Certain features and paid services on PodHub require you to create an account. You agree to provide accurate, current, and complete information at the time of registration; keep your account information updated at all times; maintain the confidentiality of your login credentials; and take full responsibility for all activity that occurs under your account.

PodHub is not liable for any loss, damage, or unauthorised access resulting from your failure to secure your account credentials. If you suspect any unauthorised use of your account, you must notify us immediately at services@podhealth.club.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a risk to the platform or community.

3. Paid Products and Services

PodHub offers the following paid products and services:

Podcast Membership and Subscription providing recurring access to exclusive content, episodes, or community features; Guest Appearance and Sponsorship Packages covering paid guest placements, sponsored episodes, or branded features across the network; Courses and Digital Products including educational content, downloadable resources, and digital materials; and Advertising and Brand Deal Packages covering promotional integrations within podcast episodes or digital channels.

3.1 Pricing and Payment

All prices are displayed at the point of purchase and are inclusive of applicable taxes unless otherwise stated. Payments are processed securely via our authorised payment partners Razorpay, Stripe, and PayPal in accordance with their respective terms and security standards. We do not store your full card details on our servers.

By completing a purchase, you confirm that you are authorised to use the payment method provided and that the billing information you supply is accurate.

3.2 Subscriptions and Auto-Renewal

Where a product is offered on a recurring subscription basis, your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You will be notified of any changes to subscription pricing in advance. It is your responsibility to manage and cancel subscriptions through your account settings or by contacting us at services@podhealth.club.

3.3 Cancellations

You may cancel a subscription at any time. Cancellation will take effect at the end of the current billing period. You will retain access to subscription content until that date. No partial refunds are provided for unused time within a billing cycle unless otherwise required by applicable law.

For one-time purchases such as sponsorship packages, advertising deals, or digital products, cancellations must be requested before the fulfilment or delivery of the service. Once a service has been delivered or commenced, it is non-refundable unless there is a material failure on our part.

3.4 Refund Policy

Refund requests are evaluated on a case-by-case basis. We are committed to fair resolution and will always act in good faith. To request a refund, contact us at services@podhealth.club with your order details and reason for the request within 7 days of purchase or service delivery.

Refunds will not be issued for: change of mind after a service has been delivered or commenced; failure to cancel a subscription before the renewal date; or digital products that have been downloaded or accessed.

Where a refund is approved, it will be processed to the original payment method within 7 to 14 business days, subject to payment processor timelines.

Nothing in this Section limits any rights you may have under the mandatory consumer protection laws of your jurisdiction that cannot be excluded by contract. Australian consumers retain rights under the Australian Consumer Law. UK consumers retain rights under the Consumer Rights Act 2015. Canadian consumers retain rights under applicable provincial consumer protection legislation. These statutory rights are not affected by the terms above.

3.5 Failed or Disputed Transactions

In the event of a failed payment, your access to the relevant product or service may be suspended until the payment is resolved. For payment disputes or chargebacks, please contact us directly at services@podhealth.club before initiating a dispute with your bank or payment provider. We will work with you to resolve the matter promptly. Nothing in this clause prevents you from exercising any chargeback rights you may have under applicable law or your card issuer's terms.

4. Guest Participation Terms

By applying to appear as a guest on any show within the Healthy Mind by Avik™ network, you agree to the following:

You are participating voluntarily and grant PodHub a non-exclusive, worldwide, royalty-free licence to record, edit, produce, publish, distribute, and promote your episode across all platforms and channels for an indefinite period; you are solely responsible for the accuracy, legality, and appropriateness of all statements you make during recording; your views and opinions are your own and do not represent PodHub, its hosts, or Healthy Mind by Avik™; you warrant that your participation does not violate any third-party rights, confidentiality obligations, professional ethics requirements, or applicable law; PodHub reserves the right to edit, withhold, or remove your episode at its sole discretion; and paid guest or sponsorship arrangements are subject to the additional terms agreed in writing at the time of booking.

All guests are required to sign a Guest Release and Recording Consent form before their episode is recorded or published. This is a non-negotiable requirement across all shows in the network. By participating in a recording session, you confirm that you have read and agreed to the Guest Release and Recording Consent in full.

5. Content Ownership and Intellectual Property

5.1 PodHub Content

All content on www.podhub.club including the PodHub name, Healthy Mind by Avik™ brand, logos, show names, episode artwork, website design, text, and any other materials created by or for PodHub is the intellectual property of Avik Chakraborty, Digitimes Pvt Ltd, and Healthy Mind by Avik™. All rights are reserved.

You may not use, reproduce, or distribute any PodHub-owned content without prior written permission.

5.2 Creator and Guest Content

Podcast content contributed by hosts, guests, and creators remains the intellectual property of the respective contributor, subject to the licence granted to PodHub as described in Section 4 and any separate creator or guest agreement.

5.3 Licence Grant to PodHub

By submitting or making content available on or through PodHub, whether as a creator, guest, or user, you grant PodHub a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, distribute, publicly perform, display, and promote such content solely for the purpose of operating and improving the platform and promoting PodHub and its content across all channels.

This licence continues for the duration of the content's availability and may persist in archived or promotional contexts even after removal, where technically or legally necessary.

5.4 Copyright Complaints

If you believe any content on PodHub infringes your intellectual property rights, please contact us at services@podhealth.club with your name and contact details, a description of the work you believe has been infringed, the specific location of the infringing content, and a good-faith statement that the use is unauthorised. We will review and respond promptly.

6. Mental Health Content: Important Notice

PodHub is a mental wellness podcast network. All content published across our network including episodes, blog posts, newsletters, and any associated materials is produced for general educational and informational purposes only.

Nothing on PodHub constitutes medical advice, psychological or psychiatric counsel, clinical diagnosis, therapeutic treatment, or any other form of regulated professional service. Opinions expressed by guests and hosts are personal views only and do not represent professional guidance.

Listeners and users are strongly encouraged to seek qualified professional support for any mental health concerns. By using PodHub, you acknowledge and accept this limitation.

Our full Standard Podcast Disclaimer, which governs all episodes across all shows in our network, is available at www.podhub.club/terms-privacy/standard-podcast-disclaimer. By listening to any episode, you acknowledge and accept that disclaimer in full.

7. User-Generated Content

Where PodHub permits comments, reviews, messages, profile submissions, or other user contributions ("User Content"), you are solely responsible for your User Content and its accuracy, legality, and appropriateness.

PodHub does not endorse, verify, or guarantee User Content and accepts no liability for it. We reserve the right to remove, restrict, or moderate User Content at our sole discretion, without prior notice or obligation to explain.

8. Third-Party Links and Services

PodHub may link to or integrate with third-party websites, platforms, or services including podcast directories, payment processors, social media platforms, and scheduling or analytics tools. These operate independently and are governed by their own terms and privacy policies.

PodHub is not responsible for the content, practices, availability, or data handling of any third-party service. Your use of third-party platforms is entirely at your own risk.

9. Prohibited Conduct

In addition to the restrictions in Section 1, you must not use PodHub to: violate any applicable law, regulation, or legal obligation; harass, threaten, intimidate, or abuse any person; post or distribute hate speech, discriminatory content, spam, or deceptive material; defame, discredit, or misrepresent PodHub, its team, guests, or any third party; distribute obscene, harmful, or sexually explicit content; upload content to which you do not hold the necessary rights; submit guest referrals or complaint communications that contain false, defamatory, or maliciously misleading information about any individual; or engage in any activity that could damage the reputation, operations, or legal standing of PodHub.

Violations may result in immediate suspension or permanent termination of access, removal of content, and where appropriate, legal action.

10. Disclaimer of Warranties

PodHub is provided on an "as-is" and "as-available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant or guarantee: uninterrupted, error-free, or secure operation of the platform; availability of any specific content, episode, or feature at any time; the accuracy, completeness, or reliability of any content on the platform; or any particular outcome or result from use of the platform or its paid services.

All opinions, statements, and views expressed by podcast guests and hosts belong solely to the individual speaker and do not represent PodHub, Digitimes Pvt Ltd, or Healthy Mind by Avik™.

11. Limitation of Liability

To the maximum extent permitted by applicable law, PodHub, Digitimes Pvt Ltd, its owner Avik Chakraborty, operators, affiliates, hosts, guests, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to: your use of or inability to use the platform; any content published by guests, hosts, or users; removal of content or termination of account access; third-party services, integrations, or interruptions; unauthorised access to your data or account; or any reliance on content for health, medical, legal, or financial decisions.

Where liability cannot be excluded under applicable law, PodHub's total aggregate liability shall not exceed the greater of the total amount paid by you to PodHub in the three months preceding the event giving rise to the claim, or INR 1,000.

Nothing in this Section limits any rights you may have under mandatory consumer protection laws in your jurisdiction that cannot be excluded or limited by contract. Where applicable law does not permit the exclusions or limitations set out above, our liability shall be limited to the minimum extent required by that law.

12. Indemnification

You agree to defend, indemnify, and hold harmless PodHub, Digitimes Pvt Ltd, its owner, operators, team members, hosts, guests, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses including reasonable legal fees arising from or related to: your use of PodHub or any of its paid services; your content, submissions, or User Content; your violation of these Terms; your infringement of any third-party rights; any misrepresentation made by you in connection with your use of the platform; or any guest referral submission made by you that contains false, defamatory, or misleading information about a third party.

13. Suspension and Termination

We reserve the right to suspend or permanently terminate your access to PodHub, including any paid services, immediately and without prior notice if you violate these Terms, engage in fraudulent or abusive behaviour, or pose a risk to the platform, its community, its reputation, or any third party.

Upon termination, your right to access the platform and any associated content or services ceases immediately. PodHub is not liable for any loss of access, content, data, or investment resulting from termination due to your violation of these Terms.

14. Modifications to Terms and Platform

We reserve the right to modify these Terms at any time to reflect changes in our services, legal obligations, or business operations. Updated Terms will be posted on this page with a revised Last Updated date. For material changes affecting your rights or paid services, we will make reasonable efforts to notify you directly.

Your continued use of PodHub after any update constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the platform.

15. Children

PodHub is not intended for individuals under the age of 18. In accordance with India's Digital Personal Data Protection (DPDP) Act 2023, minors under 18 may not register, purchase products or services, or submit personal information on PodHub without verifiable parental or guardian consent.

If we become aware that a minor has registered or made a purchase without appropriate consent, we will take immediate steps to cancel the account, reverse any transaction where possible, and delete associated data.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. For disputes arising under Indian law, the courts located in Gurugram, Haryana, India shall have exclusive jurisdiction.

Before initiating any formal legal proceedings, both parties agree to attempt to resolve any dispute informally by contacting us at services@podhealth.club. We will make a good faith effort to resolve the matter within 30 days of receiving your written notice of dispute.

If informal resolution is not achieved within 30 days, either party may refer the dispute to mediation under the rules of an agreed mediation body before pursuing court proceedings. This clause does not prevent either party from seeking urgent injunctive or interim relief from a court of competent jurisdiction.

International users: nothing in these Terms limits any rights you may have under the mandatory consumer protection laws of your own jurisdiction that cannot be waived by contract. Australian consumers retain rights under the Australian Consumer Law. UK consumers retain rights under the Consumer Rights Act 2015. Canadian consumers retain rights under applicable provincial consumer protection legislation.

17. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, Standard Podcast Disclaimer, and Podcast Terms of Use and License, constitute the entire agreement between you and PodHub with respect to your use of the platform and supersede all prior agreements, representations, or understandings.
