1) Acceptance of Terms

By accessing, listening to, viewing, downloading, subscribing to, or otherwise using the Podcast and any related content, you agree to be bound by these Terms of Use & License (“Terms”). If you do not agree, do not use the Podcast.

2) Definitions

• “Content” includes, without limitation: audio, video, episode files, streams, transcripts, show notes, titles, artwork, logos, trademarks, clips, teasers, social posts, graphics, and any related materials published by us.

• “Platform” includes our website and any third-party distribution channels (e.g., Apple Podcasts, Spotify, YouTube, Captivate, etc.).

• “You/Your” means any individual or entity accessing the Podcast.

3) Intellectual Property & Ownership

All Content is owned by Healthy Mind by Avik™ and/or our licensors (including guests, contractors, partners) and is protected by applicable intellectual property laws, including the Copyright Act, 1957 (India), the Trade Marks Act, 1999 (India), and international conventions and laws recognized globally.

Except as expressly permitted in these Terms, no right, title, or interest is transferred to you.

4) License Grant (Limited Permission)

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Content solely for personal, non-commercial listening/viewing.

You may:

• stream or download episodes for personal use (where a Platform permits),

• share official links to our episodes/pages,

• reference the Podcast in commentary/reviews, provided you do not reproduce substantial portions of Content.

5) Prohibited Uses (No Permission = No Use)

Unless you have our prior written consent, you may not (and may not permit others to):

1. Reproduce, upload, re-upload, repost, publish, distribute, broadcast, transmit, or syndicate any part of the Content (including full episodes) on any platform, website, app, social channel, or feed (including “mirror” feeds).

2. Modify, edit, remix, translate, dub, adapt, sample, or create derivative works from the Content.

3. Use Content for commercial purposes, including but not limited to advertisements, sponsorships, paid communities, courses, books, NFTs, products, services, or brand promotions.

4. Use the Content in a way that is misleading, defamatory, unlawful, harmful, or that distorts context.

5. Remove or alter any copyright notices, trademarks, watermarks, attribution, or proprietary legends.

6. Use our Content to imply endorsement, partnership, or affiliation without permission.

7. Use bots, scrapers, or automated systems to access Content in a manner that burdens systems or harvests Content at scale.

6) Clips, Excerpts, and Social Sharing

Default rule: You may share links freely. Audio/video clips require permission unless they are:

• an official clip posted by Healthy Mind by Avik™ (you may re-share using platform-native share tools), or

• expressly licensed to you in writing.

If permission is granted, we may impose conditions including (without limitation):

• attribution requirements,

• length limits,

• platform restrictions,

• approval of final edit,

• prohibition on monetization.

7) No AI Training / Dataset Use / Voice or Likeness Synthesis

Without our prior written consent, you may not:

• use the Content to train, fine-tune, benchmark, or develop machine learning or AI models,

• create or distribute datasets derived from the Content (including transcripts at scale),

• generate synthetic voice, likeness, or “sound-alike” content based on the Podcast,

• use the Content for automated summarization for redistribution, scraping, or republishing.

8) Trademarks & Brand Assets

“Healthy Mind by Avik™” and all associated names, logos, artwork, and brand elements are proprietary and/or trademark-protected. No license is granted to use these except as necessary for linking to and referencing the Podcast in a factual manner.

9) Third-Party Rights & Guest Content

Certain Content may include guest contributions or third-party materials. Rights in such materials may belong to the respective owners. Permission from us may not cover third-party rights; you are responsible for obtaining any additional consents required.

10) DMCA / Copyright Complaints & Takedowns

We reserve the right to issue takedown requests under applicable law (including DMCA where relevant) and to enforce our rights through platforms and legal channels. Repeated infringement may result in account reporting and/or legal action.

11) Disclaimer (No Medical or Professional Advice)

The Podcast is for informational and educational purposes only and does not constitute medical, psychological, psychiatric, legal, or other professional advice. We do not establish a therapist–client, doctor–patient, or any other professional relationship through the Podcast. If you need support, please seek qualified professional help.

12) Limitation of Liability

To the fullest extent permitted by applicable law, Healthy Mind by Avik™ will not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to your use of the Podcast or Content.

13) Indemnity

You agree to indemnify and hold harmless Healthy Mind by Avik™, its affiliates, and its contributors from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms or misuse of the Content.

14) Termination

We may suspend or terminate this license at any time if you violate these Terms. Upon termination, you must cease all use of the Content and remove any unauthorized copies or postings under your control.

15) Governing Law & Jurisdiction (India + Global)

These Terms shall be governed by and construed in accordance with the laws of India. Subject to applicable law, the courts located in [Gurgaon, Haryana] shall have exclusive jurisdiction.

International Users: You are responsible for compliance with local laws in your jurisdiction. Nothing in these Terms limits rights you may have under mandatory consumer protection laws that cannot be waived by contract.

16) Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

17) Changes to Terms

We may update these Terms at any time. The updated version will be posted on our website with a new Effective Date. Continued use after changes means you accept the updated Terms.
