1. Acceptance of Terms
By accessing, listening to, viewing, downloading, subscribing to, sharing, or otherwise using the Podcast, its Content, or any related materials across any platform or channel, you agree to be bound by these Podcast Terms of Use and License ("Terms").
If you do not agree to these Terms, you must not use the Podcast or any associated Content.
These Terms apply to all shows and episodes across the Healthy Mind by Avik™ network, which currently operates 20+ shows with 5,000+ episodes distributed globally across platforms including Captivate, Spotify, Apple Podcasts, Google Podcasts, YouTube, and RSS feeds.
2. Definitions
"Content" includes, without limitation: audio files, video files, episode streams, downloads, transcripts, show notes, titles, descriptions, artwork, logos, trademarks, clips, teasers, trailers, audiograms, social media posts, graphics, newsletters, blog posts, and any other materials published by or on behalf of Healthy Mind by Avik™ across any platform or channel.
"Network" means the full collection of podcast shows owned, operated, produced, or published by Healthy Mind by Avik™, Digitimes Pvt Ltd, and Avik Chakraborty, as listed at www.podhub.club/podcastnetwork.
"Platform" means www.podhub.club and any third-party distribution channel through which the Podcast is made available, including but not limited to Apple Podcasts, Spotify, Google Podcasts, YouTube, Captivate, and RSS feeds.
"Guest" means any individual who participates in an episode of any show within the Network as an interviewee, speaker, or contributor.
"Contributor" means any host, co-host, intern, producer, editor, or creative collaborator who contributes to the production of Content under the Network.
"You" and "Your" means any individual or entity accessing, using, or interacting with the Podcast or its Content in any form.
3. Intellectual Property and Ownership
All Content is owned by or licensed to Healthy Mind by Avik™, Digitimes Pvt Ltd, and/or Avik Chakraborty, and is protected under applicable intellectual property laws including the Copyright Act 1957 (India), the Trade Marks Act 1999 (India), and applicable international intellectual property conventions and treaties recognised globally.
This includes, without limitation, all original episode recordings, show branding, artwork, scripts, show notes, and any materials created by our team, hosts, interns, or Contributors in the course of producing the Network's Content.
Except as expressly permitted under these Terms or in a separate written agreement, no right, title, or interest in any Content is transferred to you by virtue of your access or use.
4. Contributor and Intern Rights
All hosts, co-hosts, interns, producers, editors, and other Contributors who create Content for or on behalf of the Network do so under an arrangement that assigns all intellectual property rights in that Content to Healthy Mind by Avik™, Digitimes Pvt Ltd, and Avik Chakraborty, unless a separate written agreement explicitly states otherwise.
Contributors do not retain independent ownership, distribution rights, or licensing rights over any Content created in their capacity as part of this Network, unless expressly confirmed in writing by Avik Chakraborty.
This assignment applies to all Content produced during the course of the Contributor's engagement with the Network, regardless of whether that engagement is paid, voluntary, or on an internship basis, and regardless of which device, platform, or location was used to create the Content.
5. License Grant (Limited Personal Use)
Subject to your compliance with these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Content solely for personal, non-commercial listening and viewing purposes.
Under this licence, you may: stream episodes on any Platform that officially distributes our Content; download episodes for personal offline listening where the Platform expressly permits downloads such as Spotify Premium or Apple Podcasts; share official links to our episodes, website pages, or social media posts; and reference, discuss, or review the Podcast in commentary or editorial content, provided you do not reproduce substantial portions of the Content and provide appropriate attribution.
This licence does not extend to any commercial use, redistribution, adaptation, or republication of Content in any form.
6. Prohibited Uses
Unless you have obtained our prior written consent, you may not, and may not permit, authorise, or enable any third party to:
Reproduce, upload, re-upload, repost, publish, broadcast, transmit, distribute, or syndicate any portion of the Content including full episodes, substantial excerpts, or transcripts on any platform, website, app, social channel, or feed, including mirror or aggregator feeds; modify, edit, remix, translate, dub, adapt, sample, or create any derivative work from the Content; use the Content for any commercial purpose, including but not limited to advertisements, sponsorships, paid communities, online courses, books, merchandise, NFTs, products, services, or brand promotions, except as expressly permitted under a paid commercial arrangement with PodHub as described in Section 9; use the Content in any manner that is misleading, defamatory, harmful, unlawful, or that distorts the original context or intent; remove, alter, or obscure any copyright notice, trademark, watermark, attribution, or proprietary legend; use the Content to imply any endorsement, partnership, or affiliation with Healthy Mind by Avik™ without our prior written consent; or use bots, scrapers, spiders, or automated systems to access, harvest, or reproduce Content at scale.
7. Clips, Excerpts, and Social Sharing
Default rule: you may freely share links to our episodes and official social media posts at any time.
Audio or video clips including short-form excerpts used on social media require our prior written permission, with the following exceptions:
Official clips posted directly by Healthy Mind by Avik™ on our own social channels may be re-shared using each platform's native share functionality such as Instagram repost or Spotify share link. Re-sharing does not constitute a licence to download, re-upload, or republish the clip independently.
Expressly licensed clips where we have granted written permission to a specific individual or organisation for a defined purpose.
Where permission for clip use is granted, we may impose conditions including attribution requirements, maximum length restrictions, platform limitations, approval of final edit, and prohibition on monetisation.
Guests may share their own episode as a link or using official platform share tools. Guests may not independently re-upload, re-distribute, or monetise the episode audio or video without our prior written consent, regardless of their contribution to the Content.
8. No AI Training, Dataset Use, or Voice Synthesis
Without our prior written consent, you may not: use any Content to train, fine-tune, benchmark, evaluate, or develop any machine learning model, artificial intelligence system, or large language model; create, compile, or distribute datasets derived from the Content, including transcripts, audio segments, or metadata at scale; generate synthetic voice, likeness, image, or sound-alike content based on or derived from the Podcast or any of its hosts, guests, or contributors; or use the Content for automated summarisation, scraping, or republishing through AI-powered tools or services.
This restriction applies regardless of whether such use is commercial or non-commercial.
For the avoidance of doubt, personal use of AI transcription or note-taking tools for private, non-commercial listening purposes such as personal note-taking from an episode is not prohibited by this Section, provided that the resulting transcripts or summaries are not redistributed, published, shared publicly, or used as training data for any model or system. Any commercial, systematic, or large-scale use of AI tools to process, summarise, or redistribute Content remains strictly prohibited without our prior written consent.
9. Commercial Use and Sponsorship Arrangements
PodHub offers paid commercial arrangements including sponsored episodes, advertising integrations, brand deal packages, and guest appearance packages. These are available to brands, organisations, and individuals subject to a separate written commercial agreement.
A paid commercial arrangement does not grant the brand or sponsor any ownership rights, distribution rights, or licence to independently reproduce or redistribute the associated Content. Specific permissions granted under a commercial arrangement will be defined in the relevant written agreement.

10. Episode Removal and Archive Policy
We reserve the right to remove, unpublish, edit, or archive any episode at any time and for any reason, including but not limited to guest request, legal requirement, editorial decision, or platform policy changes.
Guests who wish to request the removal or editing of their episode must submit a written request to services@podhealth.club. We will review all such requests in good faith and respond within a reasonable timeframe. Removal is at our sole discretion and is not guaranteed. A removal and administrative fee may apply as described in the Guest Release and Recording Consent.
We are not obligated to maintain any episode or Content in perpetuity, and shall bear no liability for the removal or unavailability of any Content.
11. Trademarks and Brand Assets
"Healthy Mind by Avik™", "PodHub", and all associated show names, logos, artwork, taglines, and brand elements are proprietary and/or trademark-protected assets of Avik Chakraborty, Digitimes Pvt Ltd, and Healthy Mind by Avik™.
No licence is granted to use these brand assets except for the limited purpose of accurately referencing or linking to the Podcast in a factual, editorial, or commentary context.
Any use of our brand assets in a manner that implies endorsement, partnership, or commercial affiliation without our written consent is strictly prohibited and may constitute trademark infringement.
12. Third-Party Rights and Guest Content
Certain Content may include contributions from Guests and third-party materials. Rights in such materials may belong to the respective contributor or rights holder. Our permission to use the Content does not extend to any independent third-party rights embedded within it. You are solely responsible for identifying and obtaining any additional consents required before using Content that includes third-party material.
Guests who appear on the Network grant Healthy Mind by Avik™ the rights described in these Terms and in the Guest Release and Recording Consent by virtue of their participation. Where a Guest has entered into a separate written guest agreement, the terms of that agreement shall govern to the extent of any conflict.
13. DMCA and Copyright Enforcement
We actively monitor and enforce our intellectual property rights across all platforms and distribution channels. We reserve the right to issue takedown requests under applicable law, including the Digital Millennium Copyright Act (DMCA) where relevant, and to pursue enforcement through platform mechanisms and legal channels.
Repeated or wilful infringement may result in account reporting to relevant platforms, formal legal action, and claims for damages.
If you believe any Content on our platform infringes your intellectual property rights, please contact us at services@podhealth.club with the following information: your name and contact details; a description of the work you believe has been infringed; the specific location of the infringing Content; and a good-faith statement that the use is unauthorised. We will review and respond promptly.
14. Important Disclaimer: No Professional Advice
The Podcast and all associated Content is produced for general educational and informational purposes only. Nothing in any episode, show note, transcript, social post, or related material constitutes medical advice, psychological or psychiatric counsel, clinical diagnosis, therapeutic treatment, legal guidance, financial advice, or any other form of regulated professional service.
We do not establish a therapist-client, doctor-patient, attorney-client, or any other professional relationship through the Podcast or any of its Content.
All views expressed by Guests are their personal opinions only and do not represent the views, beliefs, or positions of the host, Digitimes Pvt Ltd, or Healthy Mind by Avik™. We do not independently verify, endorse, or guarantee the accuracy of any statement made by a Guest. Guest speakers are solely responsible for the content of their own contributions.
We do not intend to harm, defame, or discredit any person, organisation, brand, product, country, or profession referenced in any episode. All third-party materials referenced or used within any episode remain the property of their respective owners and are used under the doctrine of fair use for informational and educational purposes only.
In addition to this written disclaimer, hosts within our network are instructed to deliver verbal reminders within episodes where appropriate, noting that episode content is supportive and informational in nature and is not a substitute for professional advice. The presence or absence of a verbal in-episode reminder does not affect the applicability of this written disclaimer, which governs all Content across the Network at all times.
Listeners are encouraged to engage critically and independently with all Content. Do not rely blindly on anything heard in any episode. If you are experiencing mental health challenges or any other personal crisis, please seek qualified professional support in your region.

15. Limitation of Liability
To the fullest extent permitted by applicable law, Healthy Mind by Avik™, Digitimes Pvt Ltd, Avik Chakraborty, and all affiliated hosts, guests, contributors, and partners shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to your use of, or inability to use, the Podcast or any of its Content, including but not limited to any reliance placed on Content for health, medical, legal, financial, or personal decisions.
Nothing in this Section limits any rights you may have under mandatory consumer protection laws in your jurisdiction that cannot be excluded or limited by contract. Where applicable law does not permit the exclusions or limitations set out above, our liability shall be limited to the minimum extent required by that law.
16. Indemnification
You agree to defend, indemnify, and hold harmless Healthy Mind by Avik™, Digitimes Pvt Ltd, Avik Chakraborty, and all affiliated hosts, guests, contributors, and partners from and against any claims, damages, liabilities, costs, and expenses including reasonable legal fees arising from your breach of these Terms, your misuse of the Content, or your infringement of any third-party rights.
17. Minors
The Podcast and its Content are not directed at individuals under the age of 18. In accordance with India's Digital Personal Data Protection (DPDP) Act 2023, minors under 18 may not submit personal information, apply to be a guest, or engage with any paid service without verifiable parental or guardian consent.
18. Termination of Licence
We may suspend or permanently terminate your licence under these Terms at any time and without prior notice if you violate any provision of these Terms or misuse the Content in any way. Upon termination, you must immediately cease all use of the Content and remove any unauthorised copies, postings, or reproductions under your control.
19. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. The courts located in Gurugram, Haryana, India shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or relating to these Terms or your use of the Podcast.
Before initiating any formal legal proceedings, both parties agree to attempt to resolve any dispute informally by contacting us at services@podhealth.club. We will make a good faith effort to resolve the matter within 30 days of receiving your written notice of dispute. If informal resolution is not achieved within 30 days, either party may refer the dispute to mediation before pursuing court proceedings. This clause does not prevent either party from seeking urgent injunctive or interim relief.
International users: you are responsible for compliance with all applicable local laws in your jurisdiction. Nothing in these Terms limits any rights you may have under mandatory consumer protection laws that cannot be waived by contract.
20. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed entirely if modification is not possible. All remaining provisions shall continue in full force and effect.
21. Changes to These Terms
We may update these Terms at any time to reflect changes in our operations, legal obligations, or platform practices. The updated version will be posted on our website with a revised Effective Date. Your continued use of the Podcast after any update constitutes your acceptance of the revised Terms.
