GUEST RELEASE AND RECORDING CONSENT

How This Consent Is Given
By participating in a recording session, by signing this document digitally or physically, by confirming acceptance via email, or by submitting this form, you confirm that you have read, understood, and agreed to all terms set out in this Guest Release and Recording Consent in full.
If you are an agency or representative submitting on behalf of a Guest, you confirm that you are fully authorised to provide this consent on the Guest's behalf, and that the Guest has been made aware of and agrees to these terms.
1. Recording, Editing, and Use Rights
You grant the Producer an irrevocable, worldwide, perpetual, royalty-free right and licence to record, photograph, film, edit, translate, transcribe, adapt, distribute, publicly perform, publicly display, publish, syndicate, archive, and otherwise use the content of your participation in any and all formats and media, now known or later developed.
This licence includes, without limitation, your name, likeness, voice, image, biographical information, and statements, whether used in whole or in part, for the following purposes: editorial, educational, promotional, marketing, distribution, and any other lawful purpose connected with the operation and promotion of the Healthy Mind by Avik™ network.
This licence explicitly extends to, without limitation: full episode audio and video files distributed across podcast platforms including Spotify, Apple Podcasts, Google Podcasts, YouTube, Captivate, and RSS feeds; short-form audio and video clips, audiograms, and episode trailers shared across social media platforms including Instagram, LinkedIn, Twitter/X, Facebook, and YouTube Shorts; quote cards, graphics, and promotional images featuring your name, likeness, or statements; episode show notes, blog posts, newsletters, and website content referencing your appearance; and any future format or distribution channel developed after the date of recording.
You understand and agree that the Producer may edit your participation for length, clarity, safety, production quality, and audience appropriateness, and you waive any right to approve the final edited version, except where such waiver is expressly prohibited by applicable law.
2. Guest Promotion Obligations
We want your episode to reach as many people as possible. We encourage you to actively promote your episode once it is published.
You are encouraged to share the episode using official platform links provided by the Producer across your own social media channels, website, and newsletter. All such sharing must use the official episode link or platform-native share tools and must attribute the episode to Healthy Mind by Avik™ accurately.
You may not re-upload, re-distribute, or independently publish the full episode audio or video on any platform without our prior written consent. Short promotional clips may only be shared where they have been provided to you directly by the Producer or where written permission has been granted.
3. No Obligation to Publish
The Producer is under no obligation to publish, release, or distribute any recording made with the Guest. The decision to publish, withhold, edit, archive, or discontinue any content is at the Producer's sole discretion at all times.
If the Producer decides not to publish your episode, no compensation, credit, or explanation is owed to you unless otherwise agreed in writing at the time of booking.
4. No Obligation to Remove Published Content
Once an episode or any associated content is published, the Producer is not obligated to remove, retract, unpublish, delete, or otherwise take down that content in response to any request by the Guest or any agency, representative, or third party, for any reason.
Reasons that do not constitute grounds for a removal obligation include, without limitation: changes in personal preference; reputational concerns; new professional affiliations; changes in public position or messaging; personal circumstances arising after publication; complaints or pressure from third parties about the Guest's credentials, background, or conduct outside of the episode; or unverified allegations made by any individual or organisation about the Guest.
The Producer may, at its sole discretion, consider removal or modification requests submitted in writing. Any such action is entirely a business decision and not a legal obligation. The Producer's decision to review a complaint or concern raised by a third party about a Guest does not create any obligation to remove, edit, or discontinue the episode or any associated content.
5. Removal and Down-Edit Request Fee
If the Producer agrees, in its sole discretion, to remove an episode, unpublish content, or materially edit or down-edit any published content at the written request of the Guest or their representative, you agree to pay a non-refundable administrative and opportunity-cost fee of USD $100 prior to any such action being taken.
This fee will be clearly communicated to you in writing and must be acknowledged by you before any payment is requested or collected. The administrative fee clause is intended to apply to commercial and professional participants and does not affect any mandatory rights you may hold under applicable consumer protection law.
This fee is not a penalty. It is an administrative charge intended to partially offset the Producer's internal operational time and any potential impact on advertising or sponsorship arrangements connected to the affected content.
Payment of this fee does not guarantee that the requested removal or edit will be carried out. The Producer retains full discretion over whether to act on the request even after payment is received. The fee is non-refundable in all circumstances.
Where the removal or edit results in documented third-party costs, including but not limited to sponsor make-goods, platform fees, or production costs, the Producer reserves the right to request additional reimbursement for those specific costs, provided they are communicated to you in writing with supporting documentation before any additional amount is due.
Payment of the administrative fee must be made via the Producer's authorised payment methods being Razorpay, Stripe, or PayPal as directed by the Producer in writing at the time the request is agreed.
6. Guest Representations and Warranties
You represent and warrant to the Producer that:
You have full legal capacity and authority to enter into this consent and to grant all rights described herein. If you are submitting through an agency or representative, that agency or representative confirms it is fully authorised to act on your behalf and bind you to these terms.
Your participation and all materials you provide, including slides, images, audio, brand assets, personal stories, statistics, and third-party references, do not infringe or violate any third-party rights, including copyright, trademark, privacy, publicity, confidentiality, or contractual obligations.
You will not knowingly make false, defamatory, misleading, or harmful statements during your participation, and you accept full responsibility for the accuracy, truthfulness, and legal compliance of all statements you choose to make.
Your participation does not breach any existing non-disclosure agreement, employment contract, or other legal obligation you are subject to.
You are 18 years of age or older. Individuals under 18 may not participate without the verified written consent of a parent or legal guardian, in accordance with India's Digital Personal Data Protection (DPDP) Act 2023.
You accurately represent your professional background, qualifications, credentials, and areas of expertise in all communications with the Producer, including your guest application, PodMatch profile, booking communications, and any publicly accessible profiles or bios used in connection with your appearance. You acknowledge that misrepresentation of your qualifications or credentials in connection with your participation may constitute a breach of this agreement and may result in the removal of your episode at the Producer's sole discretion.
Where you hold any professional qualification, registration, or membership with a regulated body or professional association, your participation and all statements you make are consistent with the ethical guidelines, scope of practice requirements, and professional conduct standards of that body or association. You accept sole responsibility for any professional conduct obligations arising from your participation, and you acknowledge that the Producer does not independently verify professional credentials and bears no liability for any misrepresentation of expertise.
Where you discuss topics related to mental health, trauma, nervous system regulation, psychological wellbeing, medical conditions, clinical practice, or any other area that may be regulated or require formal qualifications in one or more jurisdictions, you acknowledge that your contributions are personal in nature, drawn from your own lived experience and self-study unless you hold and have accurately disclosed verified regulated credentials in those areas. You agree that the Producer's platform disclaimers clearly communicate this limitation to listeners, and that you will not make statements during your participation that represent your views as clinical, therapeutic, diagnostic, or otherwise regulated professional guidance unless you are duly qualified and registered to provide such guidance in the relevant jurisdiction.
7. Third-Party Complaints and External Concerns
You acknowledge that the Producer may from time to time receive complaints, concerns, or enquiries from third parties, including listeners, professional bodies, regulatory authorities, or members of the public, regarding the content of your episode or your professional background and credentials.
The Producer reserves the right to review any such complaint in its sole discretion. The existence of a complaint does not create any obligation on the Producer to remove, edit, or take down your episode. The Producer's decision on how to respond to any complaint is made entirely at its own discretion and in accordance with its own editorial, ethical, and legal standards.
You agree that the Producer's good faith review of a complaint does not constitute an admission of wrongdoing by the Producer, an endorsement of the complaint, or a finding against you. You further agree that you will not hold the Producer liable for any decision it makes in response to a complaint, including a decision to retain, edit, or remove your episode.
If the Producer determines that your episode should be removed or edited as a result of a complaint, it will notify you in writing. Any removal or edit decision remains subject to the terms of Section 4 and Section 5 of this document.
8. Paid Guest and Sponsorship Arrangements
If your participation is part of a paid guest appearance, sponsored episode, or commercial brand arrangement, those commercial terms are governed by a separate written commercial agreement between you and Digitimes Pvt Ltd and Healthy Mind by Avik™. This Guest Release and Recording Consent applies in addition to, and does not replace or supersede, any such commercial agreement.
In the event of any conflict between this document and a separately signed commercial agreement, the commercial agreement shall take precedence to the extent of the conflict.
9. Restriction on AI and Automated Use
Without the Producer's prior written consent, you may not and do not authorise any third party to: use any recording, transcript, clip, or content from your episode to train, fine-tune, benchmark, or develop any machine learning model, artificial intelligence system, or large language model; generate synthetic voice, likeness, or sound-alike content based on your appearance or any content derived from your episode; or create or distribute datasets derived from your episode content in any form.
This restriction applies to you as a participant and to any agency, representative, or third party acting on your behalf.
10. Third-Party References and Fair Use
You acknowledge that the Podcast and associated content may discuss third-party products, services, brands, organisations, public figures, professions, and countries as part of commentary and informational discussion.
Any third-party media referenced or used is the property of its respective owners and, where used, is intended for commentary and informational purposes consistent with applicable fair use and fair dealing principles.
You agree not to reference third-party materials, brands, or individuals in a manner that constitutes defamation, misrepresentation, or infringement of any third-party rights during your participation.
11. Disclaimer and Limitation of Responsibility
All content produced under this consent is for educational and informational purposes only. Nothing in any episode, webinar, digital event, recording, or associated content constitutes medical, psychological, psychiatric, legal, financial, or any other form of regulated professional advice.
The views expressed by the Guest are the Guest's personal opinions only and do not represent the views of the host, Healthy Mind by Avik™, Digitimes Pvt Ltd, or any team member, affiliate, contractor, or partner.
To the fullest extent permitted by applicable law, you agree that the Producer, its hosts, team members, contractors, and affiliates: are not responsible for how your statements are interpreted, shared, excerpted, or responded to by listeners or third parties; do not make any warranties about outcomes, results, or audience actions arising from the episode or any associated content; and do not intend to harm, defame, or discredit any person, organisation, brand, product, country, or profession mentioned in any content.

12. Release of Claims
To the maximum extent permitted by applicable law, you release and discharge the Producer, its hosts, employees, contractors, affiliates, and partners from any and all claims, actions, liabilities, damages, losses, and expenses arising out of or related to the recording, editing, publication, distribution, promotion, or any other use of the content produced in connection with your participation.
This release includes, without limitation, claims relating to privacy, publicity rights, defamation, misrepresentation, and moral rights, except where such release is expressly prohibited by applicable law.
Nothing in this Section limits any rights you may have under mandatory consumer protection laws in your jurisdiction that cannot be waived by contract.
13. Governing Law and Jurisdiction
This Guest Release and Recording Consent is governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with this document shall be subject to the exclusive jurisdiction of the courts located in Gurugram, Haryana, India.
Before initiating any formal legal proceedings, both parties agree to attempt to resolve any dispute informally by contacting us at services@podhealth.club. We will make a good faith effort to resolve the matter within 30 days of receiving your written notice of dispute.
International Guests: you are responsible for compliance with all applicable laws in your own jurisdiction. Nothing in this document limits any rights you may have under mandatory consumer protection laws that cannot be waived by contract.
14. Severability
If any provision of this document is found to be invalid, unlawful, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed entirely if modification is not possible. All remaining provisions shall continue in full force and effect.
15. Entire Agreement
This Guest Release and Recording Consent, together with any separately signed commercial agreement where applicable, constitutes the entire agreement between the Guest and the Producer with respect to the Guest's participation and supersedes all prior discussions, representations, or understandings.
Guest Acknowledgement and Acceptance
By signing below, confirming acceptance via email, or submitting this form digitally, you confirm that: you have read and understood this Guest Release and Recording Consent in full; you agree to be bound by all terms set out in this document; you are entering into this agreement voluntarily and without coercion; and if signing on behalf of a Guest, you are fully authorised to do so.
