Partner program terms.

1. About these terms

These terms are an agreement between you and PodHub (the PodHub Network, run by Healthy Mind by Avik™, "we" or "us") for the PodHub Partner Program. By applying, or by sharing your partner link, you agree to them.

2. Joining

You must be at least 18 and give us true, complete details. We read every application and may approve or decline any of them, without giving a reason.

Your partner account is for you alone. You may not share it, sell it or transfer it.

3. Who counts as your client

A client counts as yours when they first enquire through your partner link within 90 days of clicking it, or when we agree in writing, before they first contact us, that you introduced them.

Only new people count. Anyone already known to us before your referral (in our CRM as a lead, client, guest or contact, or a past sponsor) cannot be credited to you, even if they later use your link.

If more than one partner refers the same person, the first valid referral counts. You cannot refer yourself, your own company, or a business you own or work for.

Our records decide who referred whom. If you think we have missed one, tell us within 30 days of the client's first payment and we will look at it in good faith.

4. What you earn

You earn 20% of the money we actually receive from your client, on every payment, for as long as they keep paying us.

Commission is worked out on what we receive after leaving out GST and other taxes, payment and transfer fees, refunds, chargebacks, discounts and credits, and costs we pass straight through to the client at cost (for example ad spend or third-party tools).

If a client makes no payment for six months in a row, the referral ends and later payments earn nothing.

Nothing is earned on money we have not received, and there is no commission on enquiries, calls or quotes on their own.

5. When and how we pay

Each payment is held for 30 days in case of a refund or chargeback. After that the commission is ready, and we pay what is ready once a month, usually by the 15th, by bank transfer or UPI.

We pay once at least ₹2,000 (or $25 for dollar payments) is ready. Smaller amounts roll over to the next month.

You must give us correct payout details and, in India, your PAN. We deduct tax at source where the law requires it (for example TDS) and pay you the rest. You are responsible for your own taxes, and we may ask for an invoice before paying.

If we owe you nothing because of these terms, nothing is payable. Commission does not earn interest.

6. Refunds and clawbacks

If a payment is refunded, reversed or charged back after we have paid you commission on it, we take that commission off your next payouts. If there are none within 60 days, you agree to repay it within 30 days of our request.

7. How you may promote PodHub

Be honest. Always make clear that you earn a commission when you recommend us, as India's advertising rules (ASCI) and similar rules elsewhere require.

Do not send spam or unsolicited bulk messages, use bought or scraped contact lists, or message people in our name.

Do not bid on "PodHub", "Healthy Mind by Avik" or similar words or misspellings in paid search or social ads, or register domain names, social accounts or app names that use them.

Do not post your link on coupon, cashback or deal sites, pay or reward people to click or enquire, or hide where your link goes.

Do not promise prices, discounts, results, downloads, rankings, leads or timelines on our behalf, write fake reviews, or say you work for PodHub or can sign for us.

Use our name and logo only as we provide them, and stop when we ask.

8. Care with wellbeing and personal data

PodHub works with mental wellbeing. Never make health or medical claims about us, and never target people because they are struggling or vulnerable.

Share someone's details with us only with their permission, and follow the data protection laws that apply to you, including India's Digital Personal Data Protection Act 2023 and, where relevant, the GDPR. We handle client details under our privacy policy, and your dashboard never shows them.

9. Fraud and misuse

Fake or self-made enquiries, using bots or scripts, forcing or hiding link clicks, or any attempt to claim commission you have not earned is fraud.

If we find fraud or a serious breach of these terms, we may withhold or cancel unpaid commission linked to it, recover commission already paid on it, and end your partnership straight away.

10. Changes

We may change these terms or the program by email with 14 days' notice, and the change applies from then on. A change never takes away commission already earned on payments we have received. If you do not agree to a change, you may leave before it starts.

11. Ending

You may leave at any time by emailing us. We may pause or end your partnership at any time, and end the program with 30 days' notice.

When a partnership ends, we pay commission already earned on genuine clients for payments received before the end, once their hold has passed (unless section 9 applies). No commission is earned on payments after the end.

12. Our relationship

You are an independent partner, not our employee, agent or business partner. You cannot make promises, sign agreements or accept money on our behalf. Keep anything we share that is not public, such as client details and internal pricing, confidential.

13. Responsibility

You are responsible for how you promote PodHub, and you agree to cover our reasonable losses if your promotion breaks these terms or the law.

As far as the law allows, we are not liable for indirect losses or lost profits, and our total liability to you is limited to the commission you have earned and not yet been paid.

14. Law and disputes

These terms are governed by the laws of India. If a dispute cannot be settled by talking it through, the courts in Kolkata, West Bengal have exclusive jurisdiction.
